Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your use of the Tooling Studio website, web application, Chrome extensions, Kanban Tasks, Sales CRM, Google Workspace integrations, Model Context Protocol service, and related services (collectively, the "Services").

By creating an account, installing or connecting an integration, or otherwise using the Services, you agree to these Terms. If you use the Services for an organization, you confirm that you have authority to accept these Terms on its behalf.

2. Accounts and access

You must provide accurate account information and keep access to your account secure. You are responsible for activity performed through your account and for managing the people, roles, permissions, and connected services in your workspace.

You must notify us promptly at [email protected] if you believe your account or credentials have been compromised.

3. The Services

Tooling Studio provides workflow tools for tasks, projects, contacts, organizations, deals, pipelines, collaboration, attachments, links, integrations, and related functionality. Features may vary by product, plan, platform, account, or availability.

We may improve, add, remove, or change features. We will provide reasonable notice when a material change would significantly reduce paid functionality, unless an immediate change is needed for security, legal, or operational reasons.

4. Google services and other integrations

Some features connect to Google or another third-party service. Your use of those services remains subject to the provider's own terms, permissions, availability, and account policies.

You choose whether to connect optional integrations and which data to import, synchronize, link, or make available. Google API data is handled as described in our Privacy Policy.

5. Your content and responsibilities

You retain ownership of content you submit to the Services. You give Tooling Studio the limited permission needed to host, process, transmit, back up, and display that content to provide, secure, and support the Services.

You are responsible for your content and for having the rights and lawful basis needed to use it, including personal information about contacts, customers, employees, or other people.

6. Acceptable use

You must not use the Services to:

  • break the law or infringe another person's rights;
  • send spam, deceptive messages, malware, or harmful content;
  • gain unauthorized access to accounts, systems, or data;
  • interfere with or overload the Services;
  • circumvent usage limits, security controls, or access restrictions;
  • resell or copy the Services except under a written agreement; or
  • use the Services in a way that creates material risk for Tooling Studio, our users, or third parties.

7. Plans, payments, and cancellation

Personal functionality may be offered free of charge. Paid plans, pricing, billing periods, included features, and applicable taxes are shown before purchase. Subscriptions renew automatically until cancelled.

You can cancel a subscription to stop future renewals. Unless required by law or stated otherwise at purchase, payments are non-refundable after the applicable 30-day money-back guarantee. Cancellation does not remove access already paid for through the end of the current billing period.

8. Intellectual property

Tooling Studio and its licensors retain all rights in the Services, software, design, branding, documentation, and other materials we provide. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms.

Google, Google Workspace, Gmail, Google Calendar, Google Drive, Google Contacts, Google Tasks, Chrome, and related marks are trademarks of Google LLC. Tooling Studio is an independent product and is not endorsed by Google unless explicitly stated.

9. Availability and support

We work to keep the Services available and reliable, but do not promise uninterrupted or error-free operation. Maintenance, third-party services, internet conditions, security incidents, and events outside our reasonable control can affect availability.

10. Suspension and termination

You may stop using the Services at any time. We may restrict or suspend access when reasonably necessary to protect the Services, comply with law, prevent abuse, address non-payment, or respond to a material breach of these Terms.

Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue. Account deletion and data retention are described in our Privacy Policy.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits mandatory consumer rights that cannot legally be excluded.

12. Limitation of liability

To the maximum extent permitted by law, Tooling Studio will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data.

Our total liability arising from the Services will not exceed the amount you paid Tooling Studio for the Services during the twelve months before the event giving rise to the claim. These limitations do not apply where liability cannot legally be limited.

13. Governing law

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules. Courts in the Netherlands will have jurisdiction, except where mandatory consumer law gives you the right to bring a claim elsewhere.

14. Changes to these terms

We may update these Terms as the Services or legal requirements change. We will publish the updated version and revise the "Last Updated" date. If a change materially affects your rights, we will provide additional notice where reasonably required.
